Job Summary

Job Description

  • Performance in M&A operations;
  • Performance in capital market operations, notably debt;
  • Experience with CVM and B3 procedures for publicly-held company issuances;
  • Preparation, negotiation and review of corporate documents, share, quota and asset purchase and sale contracts, shareholder agreements, and debt issuance documents in the capital market;
  • Coordinate and execute audit processes;
  • Consultations regarding Corporate Law and Capital Markets;
  • Support and monitoring of team activities;
  • Preparation of newsletters, content for technical dissemination and other materials on related topics;
  • Participation in national and international capital market (debt) operations (e.g.: offerings of debentures, promissory notes, securitization, investment funds, bonds/notes, among others);
  • Preparation of transaction contracts or public offering documents for securities;
  • Coordination of public offering procedures before CVM, B3 and ANBIMA;
  • Carrying out and coordinating legal audits (due diligence).

Requirements

Desirable Profile

  • Complete higher education in law and specialization in Corporate, Contracts and M&A with active OAB;
  • Postgraduate degree in Corporate Law or Capital Markets (desirable);
  • 5 to 10 years of experience;
  • Fluent English, with written and verbal communication skills.
