Former Partner Has Enforcement Proceedings Dismissed Due to Withdrawal Prior to the Event Generating the Debt

Context of the case and incident of disregarding the legal personality.

A recent decision issued by the Labor Court of Paulo Afonso/BA, in a case sponsored by our firm in defense of the former partner of the defendant company, recognized the client's lack of responsibility in the Incident of Disregard of Legal Personality initiated in the proceedings, currently before the Regional Labor Court of the 5th Region.

The incident was requested by the claimant due to the lack of assets of the main debtor to guarantee the execution.

Asked to comment, the former partner contested the request, arguing that his withdrawal from the partnership occurred on August 22, 2022, while the claimant's dismissal only took place on March 10, 2023, that is, months after his departure from the company.


Application of Article 10-A of the CLT and liability of the withdrawing partner.

On the merits, the Court applied Article 10-A of the CLT (Consolidation of Labor Laws), which establishes that a withdrawing partner is subsidiarily liable only for labor obligations related to the period in which they were part of the company.

Since all the amounts awarded in the judgment stem from the claimant's unjustified dismissal on March 10, 2023, and also from the rights arising from the violation of pregnancy-related job security, the company's breach of obligations occurred after the partner's withdrawal, thus excluding its liability.


Decision regarding the redirection of labor law enforcement proceedings.

Given this situation, the request to redirect the enforcement proceedings against the assets of the former partner was expressly denied.

The incident was deemed partially justified, with liability redirected solely to the current partner of the company.

Importance of defining the liability of a withdrawing partner.

The decision reaffirms the importance of correctly defining the time frame for the liability of a withdrawing partner in labor lawsuits, demonstrating that proper documentation of the partner's departure from the company and a precise analysis of the event that gave rise to the obligations are crucial elements in preventing the improper redirection of the enforcement proceedings.
