At the end of last year, JUCESP authorized the registration of non-resident foreigners to manage companies in Brazil.
Although there has been legal provision since 2021 by Law 14,195, there is still some resistance to appointing these people as administrators, given the lack of updating of registration systems and the lack of knowledge of the process before the responsible bodies.
As particularities, we can list the need to issue a CPF for the non-resident foreign administrator and the appointment of an attorney in Brazil to represent him in citations with an additional period of 3 (three) years after the end of his term. Case published by Migalhas was worked on by Mazzucco & Mello Sociedade de Advogados and registered with JUCESP in September 2023.
