– Performance in M&A operations;
– Performance in capital market operations, notably debt;
– Experience with CVM and B3 procedures;
– Preparation, negotiation and review of corporate documents, share, quota and asset purchase and sale contracts, shareholder agreements and debt issuance documents in the capital market;
– Consultations regarding Corporate Law and Capital Markets;
– Support and monitoring of team activities;
– Preparation of newsletters, content for technical dissemination and other materials on related topics;
– Participation in national and international capital market operations (e.g.: offerings of debentures, promissory notes, securitization, investment funds, bonds/notes, among others);
– Preparation of contracts for corporate transactions or documents for public offerings of securities;
– Coordination of public offering procedures before CVM, B3 and ANBIMA;
– Carrying out and coordinating legal audits (due diligence).
– Completed higher education in law, with active OAB membership;
– Experience of over 5 years;
– Postgraduate degree in Corporate Law or Capital Markets (desirable)
– Fluent English, with written and verbal communication skills.
