Position

Junior Lawyer | Corporate Law, M&A and Capital Markets

Job Summary

  • Major practice areas include Corporate Law, M&A, and Estate/Succession Planning, including structuring, conducting, and monitoring transactions;
  • Initial drafting of M&A documents, including share, quota and asset purchase and sale agreements, shareholder agreements and related documents;
  • Practice areas include Corporate Law, including drafting routine corporate documents and supporting corporate reorganizations;
  • Support in estate and succession planning structures, including corporate asset organization and family structures;
  • Experience in Capital Markets operations, including support in the preparation and review of offering documents, structuring of funds and debt issuances;
  • Coordination and execution of due diligence processes;
  • Coordination of paralegal work, including organizing workflows, managing requests, and monitoring deliverables;
  • Coordination of corporate document registrations, including filings with the Commercial Registry, registrations, and endorsements;
  • Providing legal advice in Corporate Law, M&A, and Capital Markets;
  • Supporting team activities and participating in the development of the area;
  • Drafting legal articles, conducting research, and producing content for media and press relations (Portuguese and English);
  • Organizing folders, documents, and managing project information.

Requirements

Legal training between 2023 and 2025 (up to 2 years after graduation);

Prior experience in business consulting, with exposure to Corporate Law, M&A, Estate/Succession Planning and/or Capital Markets;

Active OAB registration;

Fluent English (written and spoken).
