Fernanda has experience representing and advising clients on mergers and acquisitions, corporate reorganization, incorporation of limited and joint-stock companies, and national and foreign business contracts in Brazil in various sectors, such as food, advertising, technology, and family asset holdings.
As part of his work, he participated in the representation of national and foreign companies in the negotiation and implementation of merger and acquisition operations in the financial, banking, veterinary hospital, medical and industrial sectors, within the scope of legal advice to sellers and buyers.
He also worked as a secondment in a company undergoing judicial recovery in the plastics industry and in a subsidiary company in Brazil of a Chinese security technology company, assisting in the routine legal operations of the companies.
– Represented the seller in the acquisition of a veterinary hospital by the controlling company of a chain of veterinary hospitals;
– Advised on the corporate restructuring of a veterinary hospital for sale;
– Represented the buyer in the acquisition of a foreign exchange bank by an English fintech;
– Advised on the corporate restructuring of an English fintech in Brazil to enable the acquisition process of a Brazilian foreign exchange bank;
– Advised on the creation and transfer of Isolated Production Units (“UPI”) in the judicial recovery process of a company in the plastics industry;
– Advised on the registration of foreign administrators residing abroad in limited companies before the Commercial Board of the State of São Paulo-JUCESP;
– Represented an ophthalmology clinic in legal proceedings for possible sale;
– Represented an Italian industrial machinery manufacturing company in legal proceedings for the acquisition of a Brazilian company in the same sector;
– Provided advice on corporate reorganization and the creation of anonymous and limited asset holding companies to optimize the succession process for clients in the agricultural, industrial and real estate sectors;
– Provided legal management advice to subsidiaries in Brazil of a Canadian company in the automotive industry;
– Performed secondment in a company undergoing judicial recovery in the plastics industry;
– Seconded in a subsidiary in Brazil of a Chinese company in the security technology sector.
